Contract scan: 3 red flags
Maya flagged this agreement before anything moves: 1. IMAGE RIGHTS: 'licence in perpetuity across all media' is far beyond the 30 to 90 day norm. Counter: 90 days paid social, renewals priced. 2. EXCLUSIVITY: 6 months across 'skincare & adjacent wellness' blocks a major revenue category for £2,200. Counter: 60 days, skincare only, or price the lockout. 3. PAID BOOSTING: allowlisting from Amara's own handle is included but unpriced. Counter: whitelisting at +40% of fee. Nothing has been sent to the brand. Approval A15 has the proposed counter.

Hi Sofia, Thanks for the agreement, and Amara's excited about this one. Three amends before we can sign: 1. Content licence: 90 days paid social rather than perpetuity; renewals available at 25% of fee per 90 days. 2. Exclusivity: 60 days, skincare category only. 3.
